1 & 2. General.

1. The name of the Club is the Goring & Streatley Golf Club and the Club is a Members' Club.

2. The objects of the Club are to manage a golf course and clubhouse for its Members and to provide for the supply to them of refreshments and all things incidental to the playing of golf.




3. Property & Trustees.

3.1 The property of the Club (other than cash and moveable chattels) shall be vested in Trustees and shall be dealt with by them as the General Management Committee ("the GMC") shall from time to time direct by resolution of which an entry in the Minutes shall be conclusive evidence. The Trustees shall usually be three (but in any event no more than four) in number. The Trustees shall be indemnified against risk and expenses out of the Club property.

3.2 The previous consent of the Members given at a General Meeting called for the purpose shall be required for:

3.2.1 any borrowing by the Club of more than one hundred thousand pounds in any one financial year of the Club.

3.2.2 the granting of any charge upon the freehold property of the Club.

3.2.3 any sale of any freehold property of the Club (subject to Rule 19 in relation to the sale of the course).

3.3 Any Trustee shall hold office until death or resignation or until removed from office by a resolution of the Members in a General Meeting. If by reason of any such death resignation or removal it shall appear to the GMC necessary or expedient that a new Trustee should be appointed or if the GMC shall deem it expedient to appoint an additional Trustee the GMC shall by resolution nominate the person to be appointed such or additional Trustee. For the purpose of giving effect to such nomination the Chairman for the time being of the GMC is hereby declared to be the person empowered to appoint new Trustees of the Club within the meaning of Section 36 of the Trustee Act 1925. He shall by Deed duly appoint the person so nominated by the GMC as a Trustee of the Club and the provisions of the Trustee Act 1925 shall apply to any such appointment. Any statement of fact in any such Deed of Appointment shall in favour of a person dealing bona-fide and for value with the Club or with the GMC be conclusive evidence of the fact so stated.

3.4 In selecting any new Trustee the GMC shall consider any candidate nominated by the then existing Trustees.




4. Membership (Categories).

4.1 The membership of the Club shall consist exclusively of the following categories of Members. The GMC may limit the number of Members of any category or categories at any time as they think fit. Members of each such category shall have the qualifications and rights listed under each such category and no others.

4.1.1 Lady & Gentlemen Members: Honorary, 7-Day, 5-Day Plus, 5-Day (Full Members).

Any such Member may:

a) Providing he or she has been a Full Member for at least two years:

i) Be an Officer or member of any Committee or Sub-Committee of the Club.

ii) Nominate a Member who is so qualified to serve on the GMC or any Sub-Committee of the Club.

iii) Propose or second a candidate for any category of membership of the Club.

b) Vote at any General Meeting.

c) Subject to the Bye-Laws of the Club use the golf course and the facilities of the clubhouse at any time they are respectively open and play in Club Competitions for the sex concerned and in Mixed Competitions with the exception that 5-Day Members may not use the golf course on Saturdays and Sundays unless they pay a green fee as determined from time to time by the GMC.

d) 5-Day Plus Members may use the Course during such hours as are specified from time to time by the GMC.

e) Introduce visitors to use the golf course when open except that 5-Day Members only may not introduce visitors at weekends.

Notes:
(1) For the avoidance of doubt those Members who under Rule 4.1.1 are entitled to vote are referred to in these Rules as "Full Members".
(2) The following categories of Members who are referred to in these Rules as "Associate Members" may be of either sex but references to Club Competitions are for the sex concerned or to Mixed Competitions.

4.1.2 Cadet Members (Associate Members)

Any such Member must be aged at least eight and under ten years and may:

a) Use the golf course subject to such regulations as the GMC impose from time to time.

b) Play in Club Competitions as reserved entirely for juniors but not in other Club Competitions in circumstances in which it is necessary for a Full Member to mark his/her card.

c) Upon reaching the age of ten years, apply to the Secretary/Manager for Junior Membership without need for introduction under Rule 5.1.

The following restrictions shall apply to all Cadet Members, namely they:

i) May not use the snooker table.

ii) May not play the gaming machines.

iii) Shall not acquire/consume intoxicating liquor at the Club

4.1.3 Junior Members (Associate Members)

Upon reaching the age of ten but not yet eighteen years, any such Member may:

a) Use the golf course subject to such regulations as the GMC impose from time to time.

b) If aged sixteen years or over, use the facilities of the clubhouse at any time it is open but subject to Rules 4.1.3 i) to iv).

c) If aged under sixteen years, use the facilities of the Changing Rooms but, only if in the presence of an adult Member or member of staff, use the facilities of the clubhouse subject to Rules 4.1.3 i) to iv).

d) Play in Club Competitions as reserved entirely for juniors but not in other Club Competitions in circumstances in which it is necessary for another Junior Member to mark his card. Junior Members may play in those Club Competitions as described in the Bye-Laws of the club.

e) Upon reaching the age of eighteen years, apply to the Secretary/Manager for any other category of membership without need for introduction under Rule 5.1.

The following restrictions shall apply to all Junior Members, namely they:

i) May not use the snooker table.

ii) May not play the gaming machines.

iii) Shall have no standing on the golf course except when playing in an official Club Competition or when accompanied by a Full Member of the Club.

iv) Shall not acquire/consume intoxicating liquor at the Club.

4.1.4 Intermediate and Student Members (Associate Members)

4.1.4.1
Members between the ages of 18 and 20 inclusive may become Intermediate Members and as such are entitled to use of the amenities of the Club on payment of such reduced subscription and subject to such terms as the GMC shall from time to time determine. On reaching the age of 21 they will, if they apply and are elected, become Full Members (either 7-day or 5-day depending upon their then handicap according to the provisions of the Bye-Laws) as from 1st April then next.

4.1.4.2 Intermediate Members aged 21 and over who are attending any establishment of full-time education may apply to the GMC for Student membership and if elected then such Member shall continue to enjoy the rights and privileges of Intermediate membership until completion of their full-time studies when they may apply for full membership in accordance with Rule 4.1.4.1

4.1.5 Social Members (Associate Members)

Any such Member may use the facilities of the clubhouse at any such time as it is open.

4.1.6 Short Term Membership (Associate Members)

This category of membership is intended to offer opportunities to new Members who have an expected stay within the area of two years or less.

a) Subject to the Bye-Laws of the Club, use the golf course and the facilities of the clubhouse at any time they are respectively open and play in Club Competitions for the sex concerned and in Mixed Competitions with the exception that 5-Day Members may not use the golf course on Saturdays and Sundays unless they pay a green fee as determined from time to time by the GMC.

b) 5-Day Plus Members may use the Course during such hours as are specified from time to time by the GMC.

c) Introduce visitors to use the golf course when open except that 5-Day Members only may not introduce visitors at weekends.

Should it appear to the GMC that any such Short Term Member is violating the spirit of this Rule, the GMC shall have the power to terminate that membership without any obligation to return the subscription.

4.1.7 Country Members (Associate Members)

This category of membership is intended for a Member who makes little use of the Club’s facilities but who desires to maintain a connection with it. Any such Member must reside beyond a radius of one hundred miles from the clubhouse and have no business or private address within the said radius and may:

a) Use the golf course and facilities of the clubhouse at any time they are respectively open.

b) Play in monthly and mid-monthly Medal Competitions only.

Should it appear to the GMC that any such Country Member is violating the spirit of this Rule they shall have the power to terminate that membership without any obligation to return the subscription.

4.1.8 Absentee Members (Associate Members)

Any Member of the Club who is temporarily resident abroad or serving in HM Forces on 1st April in any year may become an Absentee Member and thus reserve their membership by payment of a holding Subscription each year of an amount determined by the GMC. Such Members home on leave for short periods of up to three months may pay green fees in accordance with Rule 7. If the stay exceeds three months the balance of the full Annual Subscription will be payable. Absentee Members will not be eligible for Club Match Play Competitions and may only play Stroke Play Competitions after a current handicap has been allotted.

4.1.9 Suspended Members

In addition to any other powers relating to the suspension of Members for disciplinary reasons the GMC may suspend the membership of any Member who so applies on the ground that he or she is temporarily medically unfit to play golf. The GMC shall have absolute discretion to determine the length of such suspension and the terms upon which it is granted including (but not limited to) any reduced fee to be paid and the conditions upon which the Suspended Member may apply for restoration of Full membership.

4.2 Use of Club

No Member is entitled to use the Club facilities until his or her Annual Subscription has been paid.

4.3 Submission to the Rules

The payment of his or her Annual Subscription will entitle a Member to enjoy the privileges of the Club and at the same time will be deemed to imply acquiescence in and submission to all its Rules and Bye-Laws the restrictions and penalties that they may impose and all amendments thereto made from time to time.




5. Membership (Election).

5.1 The power to elect new Members shall be vested in the GMC. A candidate must be proposed and seconded by two Full Members of the Club who must:

a) have been Full Members for a minimum of two years;

b) be personally acquainted with the candidate;

c) be responsible for the candidate's eligibility;

d) write a letter of recommendation to the GMC to accompany the application form;

e) not both be related to the candidate.

5.1.1 Where an applicant is not known personally to any Member of the Club the application must be supported by letters of recommendation from two appropriate officials of the club at which that individual currently belongs (or if no current membership is held the most recent club) and the GMC may accept such applications as proper under these Rules.

5.1.2 The name of every candidate with the names of the Proposer and Seconder (unless Rule 5.1.1 applies) shall be sent to the Secretary/Manager who shall post the names in the clubhouse at least 14 days prior to election.

5.2 Candidates who are not elected cannot be proposed for election again within a period of twelve months from the date of the GMC's decision.

5.3 On due election, notice of election shall be sent to such candidate together with a copy of these Rules and the Club's Bye-Laws and a request to transmit to the Secretary/Manager the Entrance Fee, if any, and first Subscription. If such Entrance Fee and first Subscription are not paid within one month of the date of such request, the GMC may deem void the election of such candidate as a Member unless the GMC is satisfied that the delay in payment was due to absence abroad or to some other reasonable cause.

5.4 No such candidate may purchase intoxicating liquor in the clubhouse or enjoy any privileges of membership of the Club until two days have elapsed from the time of his or her election.

5.5 The GMC may cancel the election of any Member within twelve months of the payment of the first Subscription and shall not be required to give any reason for so doing, but such Member's Entrance Fee, if any, and his Subscription (pro-rata) shall be returned.

5.6 There shall be Entrance Fees of such amounts as the GMC may from time to time determine. It shall have the power to remit the whole or part of the Entrance Fee in any particular case as it shall decide.

5.7 The GMC shall be empowered to increase Annual Subscriptions by up to 5% per annum, but no alteration above that level may be made except as authorised by Members at a General Meeting called for that purpose in February in any such year and any such alteration proposed by the GMC shall be deemed to have been authorised by the Members unless rejected by a majority vote of such General Meeting attended by no less than 35 voting Members. A notice showing the Subscriptions payable shall be kept posted in the Secretary/Manager's office.

5.8 Annual Subscriptions shall be payable in advance on the first day of April in each year ("the Due date"). Members may elect to pay their Annual Subscription by instalments upon the following terms:

a) The number of instalments shall be as determined from time to time by the GMC and the instalments shall be paid by Direct Debit.

b) The Club may levy an administration charge of an amount to be prescribed annually by the GMC and such charge shall be paid by the same number of equal instalments and at the same time as the annual subscription is paid.

c) A Member who wishes to pay their Annual Subscription by this method shall deliver a duly completed Direct Debit Mandate to the Secretary/Manager on or before the 1st day of March in each year.

d) Each instalment shall be paid on the first day of each month commencing on the 1st day of April in each year.

e) For the purposes of Rule 6.3.2 the "Due date" shall be the date upon which any particular instalment falls due to be paid.

5.9 Members elected to membership between the first day of May and the first day of March in any Club year shall pay a Subscription calculated pro rata to the number of months remaining in such year. Any Member elected after the first day of March in any Club year shall not be liable for any Subscription for the remainder of that Club year only.

5.10 Reduced Subscriptions may be offered to certain categories of Members as may be decided by the Club from time to time at General Meetings.

5.11 The GMC shall have power to elect Honorary Members in suitable cases on such terms as they may decide. Any such Member shall not be liable for any Subscription. The GMC may also terminate any Honorary membership.




6. Membership (Termination).

6.1 Any Member may resign membership by giving to the Secretary/Manager notice in writing to that effect provided that any Member giving such notice after the last day of February in any year shall be liable to pay his Subscription for the year commencing 1st April in that year.

6.2 Except at the discretion of the GMC no Member ceasing to belong to the Club either by resignation or otherwise shall be entitled to have any part of the Entrance Fee or Annual Subscription returned except as provided for under Rule 5.5.

6.3.1 If any Member shall fail to pay their Annual Subscription within 30 days of the Due date then his or her name may be posted in the clubhouse and from that time the use of all Club facilities shall be withdrawn from that Member. A reminder shall be issued by the Secretary/Manager to that Member and if the due Subscription (plus an administration charge equal to 10% thereof) is not paid within 60 days of the Due date then the GMC may declare that such Member shall cease to be a Member of the Club and his or her name shall be removed from the list of Members. No person whose membership shall be terminated under this Rule may be introduced as a visitor to the Club. The GMC may at its discretion re-instate a person to membership of the Club if it is satisfied with that person's explanation for non-payment of their Subscription.

6.3.2 If any Member paying their Annual Subscription by monthly instalments shall default in the payment of any instalment on the Due date thereof then the whole of the balance then outstanding of that Member's Annual Subscription shall become payable on or before the expiration of 30 days from the Due date and if that balance is not so paid then that Member's name shall be posted in the clubhouse and from that time the use of all Club facilities shall be withdrawn from that Member.

6.4 To expel a Member from the Club for conduct which in the opinion of the GMC is injurious to the interests of the Club, it shall be necessary that notice be sent to the Secretary/Manager, signed by five members, setting out the circumstances which give rise to such notice. The Secretary/Manager shall then communicate with such Member (so that the person may have the opportunity of explaining their conduct in writing or orally, or withdrawing from the Club) and shall call a Meeting of the GMC who are empowered to decide the question. The Member shall be expelled if a two-thirds majority of the GMC members present vote for expulsion. Any Member so expelled shall have the right to appeal to an Extraordinary General Meeting to be summoned within 28 days of the date of receipt of the Member's notice of appeal when a majority of two-thirds of the Members present at such Extraordinary General Meeting shall be required to confirm the expulsion.

6.5 The GMC shall have the power to suspend a Member for a period not exceeding three months. Before taking this action the Member must be given the right to a hearing before the GMC and at that hearing may be accompanied or represented by another Member of the Club if the Member so wishes. The suspension may be from the use of clubhouse facilities or from playing rights or from both.

6.6 In exceptional cases of perceived blatant violation of the Club Rules or serious misconduct by a Member then the Captain Vice-Captain or nominated deputy (who must be an Officer of the Club or an elected GMC member) shall have the overriding authority to issue a temporary suspension of that Member for a period not exceeding one calendar month pending due process of the Club's disciplinary procedure.




7. Visitors to the Course.

7.1 Visitors may play over the course on entering their names and addresses in the Visitors' Book, paying the current green fee and receiving a ticket for the period paid for.

7.2 The number of green fees permitted to play from time to time shall be at the discretion of the GMC who may suspend the right of visitors and the right of Members to introduce visitors on any day or days.

7.3 Any individual visitor is limited to six visits per Club year at a reduced green fee. Members are limited to a total of twelve reduced green fees for their guests per Club year. No more than three guests may be introduced by a Member on any one occasion.

7.4 Visitors must comply with the Dress Rules of the Club as contained in the Bye-Laws.




8. Annual General Meeting.

8.1 The Annual General Meeting of the Club shall be held on such other date as the GMC shall decide but not more than 15 months are to elapse between such Meetings. A report and balance sheet for the twelve months made up to the 31st March previous shall be laid before the Members at this Meeting.

The business of the Meeting shall be:

a) To receive from the Captain of the Club a report on the general condition and progress of the Club during the preceding year.

b) To receive and, if approved, adopt a Report on the audited Accounts of the Club.

c) To elect the Captain, Ladies' Captain, Vice-Captain and Honorary Treasurer and, if applicable under Rule 14, the President.

d) To elect members of the GMC.

e) To transact any business relating to the affairs of the Club of which due notice has been given in accordance with these Rules.

f) To elect the Club Auditors for the year.

g) To inform the Meeting of the number of Members in each category of membership of the Club as of that date.

8.2 Twenty-one clear days notice in writing of the Annual General Meeting shall be sent to each Club Member or a notice announcing the Meeting shall be placed on the Notice Board in the clubhouse at least three clear weeks prior to the date of the Meeting.

8.3 Notice of any other business to be considered at the Annual General Meeting must be sent to the Secretary/Manager not less than fourteen clear days prior to the Meeting.

8.4 An Extraordinary General Meeting may be called at any time by the GMC. An Extraordinary General Meeting may also be called at the request of at least twenty-five Full Members who shall state in writing to the Secretary/Manager the purpose for which the Meeting is to be called and the resolution(s) to be proposed.

8.5 Twenty-one clear days notice in writing of an Extraordinary General Meeting shall be sent to each Club Member or a notice announcing the Meeting shall be placed on the Notice Board in the clubhouse at least three clear weeks prior to the date of the Meeting. This notice shall be accompanied by an agenda and the text of any proposals to be put to the Meeting.

8.6 Voting in General Meetings shall be confined to Full Members of the Club, which shall exclude Associate Members provided that such exclusions shall not exceed 15 per cent of the total membership.




9. The Management Committee (Composition and Election).

9.1 The Officers of the Club shall be the President, the Captain, the Ladies' Captain, the Vice-Captain, the Secretary/Manager (non-voting) and the Treasurer, all of whom shall be Ex-Officio members of all Committees. The President shall be elected for a period of three years and the Captain, Ladies' Captain, the Vice-Captain and Treasurer each for one year. In the event of a Lady Member becoming Club Captain, an additional Officer (to be called Men’s Captain) shall also be elected for one year.

9.2 The Management Committee shall be the General Management Committee ("the GMC") of the Club and shall consist of the Officers and nine elected members. The term of office of the elected members shall be three years.

9.3 Each year one third of the members of the GMC other than the Ex-Officio members shall retire in rotation and shall not be eligible for re-election for a period of one year. Any Full Member of two years standing may be nominated for the GMC by two other Full Members giving notice in writing of such nominations to the Secretary/Manager at least fourteen clear days before the Annual General Meeting. The election shall be made at the Annual General Meeting by ballot.

9.4 If a vacancy among the elected members of the GMC arises during the course of a year the GMC may invite a qualified Member onto the GMC in a voting capacity and where possible this should be the unsuccessful candidate who received the highest number of votes at the preceding Annual General Meeting. A member so nominated shall retire at the next Annual General Meeting (in addition to the one-third referred to above) but shall be eligible for election at that Meeting.

9.5 Any short term vacancy arising shall be filled at the Annual General Meeting at the same time as the normal ballot. The three candidates elected with the highest number of votes will serve for three years and the short-term vacancy or vacancies will be filled by the candidate(s) with the next highest number of votes. A Member filling any such short term vacancy shall be eligible for re-election at the end of that term.

9.6 The GMC shall have the power to co-opt any Member to act in a non-voting capacity. Their term of office shall be at the discretion of the GMC but shall in any case terminate at the next Annual General Meeting.

9.7 A Member is elected to look after the interests of the whole Club and not to represent a particular section or faction of the Club.




10. Appointment of Sub-Committees.

The GMC may appoint Sub-Committees for such purposes as they shall consider necessary and may nominate any Member of the Club (whether a member of the GMC or not) to serve on such Sub-Committees. Sub-Committees shall be without power to expend moneys on behalf of the Club except insofar as they are specifically authorised so to do from time to time by the GMC.




11. Casual Vacancies.

Any casual vacancy amongst the Officers of the Club may be filled by election by the GMC to cover the period up to the next AGM.




12. The Management Committee (Procedure).

12.1 The GMC shall elect its own Chairman who shall be an elected member of the GMC and who shall be elected annually at the first GMC Meeting held after the Annual General Meeting.

12.2 The GMC shall meet at such times and dates as they may determine. Seven members shall constitute a quorum. If the Chairman is not present at any meeting, the GMC shall appoint one of their number to take the chair at that Meeting. In the event of equality of votes the Chairman shall have a second or casting vote. Minutes of the proceedings shall be duly signed by the Chairman and kept by the Secretary/Manager.

12.3 On receipt of the request signed by the Chairman of the GMC or by the Secretary/Manager that a Special Meeting of the GMC be summoned, and stating the nature of business for which it is to be summoned, the Secretary/Manager shall forthwith issue notices summoning such a Meeting on a day and at an hour to be fixed by the Chairman.
12.4 Sub-Committees must report periodically their proceedings to the GMC. The Sub-Committees will be responsible to the GMC for the efficient conduct of their business in accordance with the directions of the GMC.




13. The Management Committee (Powers).

13.1 The GMC shall be responsible for the management of the Club in accordance with these Rules and shall have power to engage, control and dismiss the Club's employees and shall have all other administrative powers as may be necessary properly to carry out the objects of the Club.

13.2 Such powers of management and administration shall include the following powers:

a) To raise or borrow money for the purpose of the Club with or without mortgage of any property of the Club including power to raise or borrow money upon the security of a guarantee or mortgage given by the Trustees at the request of the GMC subject to Rule 3.2.

b) To provide money to the Trustees of the Club whether by way of loan or otherwise in order to discharge any overdraft or borrowing incurred by the Club from time to time in connection with any property of the Club or used in connection with the activities of the Club. Any liability incurred by authority of the GMC or the Trustees of the Club in carrying on the business of the Club shall be made good by the Club, and the members of the GMC and the Trustees shall be fully indemnified by Full Members of the Club in respect of any such liability.

13.3 The GMC may make or alter Bye-Laws as they shall from time to time think necessary for the internal management and well-being of the Club. Such Bye-Laws shall not be binding in so far as they may be inconsistent with these Rules but otherwise shall be binding upon all Members unless and until determined by the membership in a General Meeting.




14. The President.

The President shall hold office for a period of three years. The President shall be nominated at the Annual General Meeting immediately preceding the commencement of office and the President shall be elected by that Meeting.




15. The Secretary/Manager.

15.1 The Secretary/Manager shall conduct the business of the Club as directed by the GMC. He or she shall have the custody of all documents belonging to the Club and keep full and correct Minutes of all Meetings and records of all Club Competitions.

15.2 In the event that the GMC is no longer able to function for example through mass resignation or through a vote of no confidence passed at a General Meeting, the Secretary/Manager will ensure that the necessary arrangements are made to elect a new GMC as soon as possible at an Extraordinary General Meeting convened for the purpose. In the interim and assisted by the Trustees and other available Officers of the Club he or she will ensure that the Club's day to day operations continue efficiently.




16. Duties of The Treasurer.

The Treasurer shall oversee the accounts of the Club and shall ensure that the Annual Statement of Accounts and Balance Sheet to the 31st March are made up each year which shall, after audit, be printed and circulated amongst the Members with the notice of the Annual General Meeting.




17. Licensing Act 2003 and Facilities.

17.1 The golf course and greens shall be open from dawn to dusk every day except when declared closed. Members shall observe the provisions of the Course Policy Document. The clubhouse shall be open during such times as the GMC shall from time to time decide.

17.2 The GMC will fix the permitted hours for the sale of intoxicating liquor in accordance with the provisions of the Licensing Act 2003.

17.3 The charges to be made for intoxicating liquors and tobacco shall be such as shall be determined by the GMC. Every Member shall pay any such charges as have been incurred whether on his or her own account or for his or her visitor before leaving the clubhouse on the day the same have been incurred.

17.4 The supply of intoxicating liquor for consumption off the premises will only be made to a Member in person.

17.5 Intoxicating liquor will only be supplied to a person over the age of 18 years.

17.6 Subject to Rule 5.4 and any restrictions which from time to time may be imposed by the GMC, non-members may be admitted to the clubhouse and may purchase intoxicating liquor for consumption on the premises namely:

a) Members of other Golf Clubs, Overseas Visitors and Non-Club Members will, on payment of a green fee, be regarded as a guest of the Club and be entitled to be supplied with alcohol.

b) Persons taking table meals in the clubhouse.

c) Persons attending functions in the clubhouse provided always that the number of such functions shall not exceed eighteen in any year.

d) Club employees.

17.7 No function shall be permitted to which admission may be obtained by payment of money at the door whether for a ticket or otherwise.

17.8 The purchase for the Club and the supply by the Club of intoxicating liquor is managed by the GMC.

17.9 No person is to receive at the expense of the Club any commission percentage or similar payment on or with reference to purchases of intoxicating liquor by the Club nor shall any person derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club by or on behalf of the Club Members or request apart from any benefit accruing to the Club as a whole and apart from any benefit which a person derives indirectly by reason of supply giving rise or contribution to a general gain from the carrying on of the Club.




18. Miscellaneous.

18.1 No Member shall give the address of the Club in any advertisement or use the Club address for business purposes.

18.2 Every Member shall communicate to the Secretary/Manager his or her address or that of his or her Banker or Agent from time to time and any notice posted to such communicated address shall be deemed duly given on the day next following the day of posting.

18.3 The Club Year shall commence on 1st April and end on the 31st March of the following year.

18.4 A list of the names and addresses of all Members of the Club shall be kept on the Club premises.

18.5 Insofar as is permitted by law the Club will not accept liability in respect of any claim for damage or injury caused by visitors or Members to a third party or to another Member whether within or outside the confines of the course. All members entitled to use the course as a result of their membership are required to be insured against such Third Party Liability Risks as the GMC shall from time to time decide, within the Compulsory Insurance scheme arranged by the Club. Members shall pay their individual premium for such cover at the same time as the Annual Membership Subscription.

18.6 The conduct of a Club employee shall in no instance be made a matter of personal reprimand by any Member. Complaints should be made to the GMC or the Secretary/Manager in writing.

18.7 No Member or visitor is permitted to bring dogs into the clubhouse (save for Guide dogs for the Blind) or onto the course.

18.8 No Member shall take away from the clubhouse any articles belonging to the Club. Any Member damaging the property of the Club may at the discretion of the GMC be called upon to make good such damage.

18.9 No notice placard or advertisement shall be put up in the clubhouse or on the course without the sanction of the GMC.

18.10 Members are responsible for the behaviour and conduct of their guests and for the payment of all expenses incurred by them.

18.11 The Club shall not be held responsible for the loss of or damage to any article brought onto the Club's premises by Members or visitors to the Club.




19. Dissolution of Club/Sale of Course.

19.1 Any motion for the winding-up of the Club or for the sale of the course may be put to an Extraordinary General Meeting called for this purpose on due notice in writing to all Members on the List of Members.

19.2 At such a Meeting a majority of ninety percent of the Members present and entitled to vote shall be required.

19.3 Following dissolution of the Club after payment of all debts and liabilities:

19.3.1 the current profits of the Club and the accumulated surpluses shall be distributed to the Members in equal shares and

19.3.2 the remaining assets shall be devoted to a purpose designated by the Meeting.




20. Interpretation.

20.1 The rules of golf as they may from time to time be fixed by the Royal and Ancient Golf Club of St. Andrews shall as far as applicable and with such Special Additions as may be made by the GMC be the rules of golf of the Club.

20.2 In these Rules and in any Bye-Laws made under Rule 13.3 words importing the singular number only and the masculine gender only shall respectively include the plural number and the feminine gender and vice versa unless inconsistent with the context.

20.3 The GMC shall be the sole authority for interpreting these Rules and for settling all disputes relating to the affairs of the Club and to the conduct of Members in relation to the Club.

20.4 These Rules or any of them may be added to, repealed, or amended by resolution at any Annual or Special General Meeting provided that such resolution be carried by a majority of more than two-thirds of the Full Members voting thereon.
